These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Prosperbot, LLC ("ProsperBot," "Company," "we," "us," or "our"), governing your access to and use of the ProsperBot website at myprosperbot.com and the ProsperBot automated investment service (collectively, the "Service").
By creating an account, connecting your Prosper.com account, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
ProsperBot is a software automation tool that connects to your Prosper.com account via Prosper's official API to automate peer-to-peer lending investments on your behalf. Specifically, the Service:
ProsperBot is not a financial advisor, investment advisor, broker-dealer, or registered investment company. ProsperBot does not provide investment advice, recommendations, or personalized financial guidance. All investment parameters are configured by you, the user.

To use the Service, you must create an account by providing your name, email address, and a secure password. You are responsible for:
We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.
The Service requires you to authorize ProsperBot to access your Prosper.com account via Prosper's OAuth API. By connecting your account, you:
ProsperBot can only place investments — it cannot withdraw funds, transfer money, or modify your Prosper.com account settings. Your funds remain in your Prosper.com account at all times.
The Service is offered on a subscription basis. Current pricing plans include:
All payments are processed securely through Square, Inc., our third-party payment processor. Your payment card information is collected and processed entirely by Square using their PCI-DSS compliant infrastructure. ProsperBot never receives, stores, or has access to your full card number or payment credentials.
You authorize us to charge your payment method on a recurring basis at the applicable subscription rate. Subscription fees are billed in advance for each billing period.
We reserve the right to change our pricing with 30 days' advance notice. Any price changes will apply to the next billing period following the notice.
New users may be eligible for a 15-day free trial. During the trial period, you will have full access to the Service. A valid payment method is required to start the free trial.
Unless you cancel before the trial ends, your subscription will automatically begin on day 16 and your payment method will be charged the applicable subscription fee. You may cancel the trial at any time during the 15-day period at no charge.
You may cancel your subscription at any time. To fully cancel, you should:
All purchases are non-refundable. Upon cancellation, your access continues until the end of your current billing period. After your subscription expires, ProsperBot will stop placing investments on your behalf.
Your existing investments on Prosper.com are unaffected by cancellation — they continue to earn returns as borrowers make payments. ProsperBot does not manage or modify investments after they are placed.
If you do not revoke ProsperBot's Prosper.com API access, the OAuth token remains stored but inactive. If you later resubscribe, you may need to re-authorize the connection.

The Service, including its software, website, design, logos, and content, is the intellectual property of Prosperbot, LLC and is protected by U.S. and international copyright, trademark, and other intellectual property laws.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial investment management purposes. This license does not include the right to modify, distribute, sell, or create derivative works based on the Service.
ProsperBot is not a financial advisor. The Service is a software automation tool, not an investment advisory service. By using ProsperBot, you acknowledge and agree that:
ProsperBot is not affiliated with, endorsed by, or sponsored by Prosper Marketplace, Inc. ("Prosper.com"). Prosper.com is a registered trademark of Prosper Marketplace, Inc.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSPERBOT, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO PROSPERBOT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
You agree to indemnify, defend, and hold harmless Prosperbot, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
We may suspend or terminate your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable.
Upon termination, your right to use the Service ceases immediately. ProsperBot will stop placing investments on your behalf. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Utah County, Utah, and you consent to the personal jurisdiction of such courts.
Before filing any legal claim, you agree to attempt to resolve disputes informally by contacting us at support@myprosperbot.com. We will attempt to resolve the dispute within 30 days. If the dispute is not resolved informally, either party may proceed with legal action as described in Section 15.
By creating an account, you consent to receive electronic communications from ProsperBot, including:
SMS Communications: If you opt in to SMS notifications, you consent to receive automated text messages from ProsperBot at the phone number you provide. Message frequency varies based on your notification settings. Message and data rates may apply. You may opt out of SMS notifications at any time by updating your notification preferences in your dashboard or by replying STOP to any message.
ProsperBot uses Telnyx as its SMS delivery provider. By opting in to SMS, you acknowledge that your phone number will be shared with Telnyx for message delivery purposes.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.
If you do not agree with the modified Terms, you should discontinue use of the Service and cancel your subscription.
